Terms of Service

Version 2026-09-21. Zuletzt aktualisiert am 12. Oktober 2026.

Dieses Dokument ist auf Englisch veröffentlicht; die englische Fassung ist maßgeblich.

This is a draft for legal review, not a finished legal document. It reflects the product decisions made during planning, but it has not been reviewed by a lawyer and should not be published or relied upon until it has been.

Last updated: 2026-09-20 (draft; the published date is set when counsel approves it)

1. Who this agreement is with

These Terms govern use of Universe Help (the "Platform"), operated by Universe Help, Kalaiya-16, Bara, Nepal [registered entity name to be confirmed] ("we," "us," "our"). By creating an account, starting a free trial, or otherwise using the Platform, you ("you," "Owner," or "Collaborator," depending on your role) agree to these Terms.

2. Accounts and roles

  • The Platform has multiple account roles: Owner (the subscriber who pays for and controls an account), Collaborator (invited by an Owner, with permissions the Owner controls), and Admin (our own platform administrators).
  • The Owner is responsible for the actions of any Collaborator they invite, including content posted, platforms connected, and any consequences of the access level they grant.
  • You must provide accurate information when creating an account and keep your login credentials secure.
  • You must be at least 18 years old to create an account or to be invited as a Collaborator.

3. Subscription plans, pricing, and billing

  • The Platform offers subscription plans (currently Starter, Pro, and Agency). Features, limits, and pricing for each plan are set by us and may change at any time. All prices are in US dollars (USD).
  • Upgrades only: you can move to a higher plan at any time. You cannot move to a lower plan during an active subscription. To choose a lower plan, wait until your current plan expires and buy the lower plan then.
  • Expiry: when your plan expires, you cannot use any Platform feature until you buy a plan again. Your data is kept locked for 90 days, then deleted unless you buy a plan again.
  • Payment records: we record every payment attempt, including failed ones. A payment counts as successful only after our billing provider confirms it.
  • Free trial: New accounts may receive a free trial period (currently 3 days). Starting a trial requires you to provide payment card details. At the end of the trial period, your card will be automatically charged the then-current price of the plan you selected, unless you cancel before the trial ends. We show this notice next to the card fields before you confirm.
  • No refunds: All charges are final. We do not provide refunds for any subscription payment, including trial conversions, monthly renewals, or partial billing periods, except where required by law. You should not start a trial or subscribe if you are not prepared to accept this.
  • We may change plan pricing, limits, or features at any time. Continued use of the Platform after a change constitutes acceptance of the updated terms for your plan.

4. Acceptable use

You agree not to use the Platform to:

  • Post content that is illegal, infringing, defamatory, or that violates the terms of service of any connected social media platform.
  • Attempt to circumvent any usage limit, permission restriction, or device-login restriction we've put in place.
  • Use the Platform's AI features to generate content that violates applicable law or the acceptable-use policies of our AI or social media partners.

5. Connected social media accounts

  • You are responsible for complying with the terms of service of every social media platform you connect to your account.
  • We are not responsible for actions taken by a third-party platform against your account (such as suspension or rate-limiting), including as a result of automated posting.
  • You may disconnect a connected platform at any time; doing so does not entitle you to a refund for time already paid.

6. Content and intellectual property

  • You retain ownership of the content, images, and videos you upload.
  • By uploading content, you grant us a limited license to store, process, and transmit that content as necessary to provide the Platform's features (including posting it to platforms you've connected, and processing it through AI features you use).
  • AI-generated text (captions, descriptions, SEO suggestions) is provided as a tool; you are responsible for reviewing and approving anything before it is published.

7. Data, privacy, and permissions

  • Our collection and use of your data is described in our [Privacy Policy].
  • Collaborator access is scoped by the Owner and enforced by the Platform per platform and per role. We are not responsible for access an Owner has knowingly granted to a Collaborator.

8. Termination

  • You may cancel your subscription at any time; cancellation stops future billing but does not refund past charges.
  • We may suspend or terminate an account that violates these Terms, engages in abusive behavior toward the Platform or other users, or as required by law.
  • An Owner may block a Collaborator at any time; a blocked Collaborator loses access immediately.

9. Disclaimers and limitation of liability

  • The Platform is provided "as is." We do not guarantee that AI-generated content, SEO analysis, or lead scoring will be accurate, error-free, or effective for your business goals.
  • [Standard limitation-of-liability language to be added by legal counsel, appropriate to your jurisdiction.]

10. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated via email (our support/notification channel) before they take effect.

11. Governing law and disputes

These Terms are governed by the laws of Nepal, without regard to conflict-of-law rules. Disputes are resolved in the courts of Nepal, or through the dispute process counsel selects. [Counsel to finalize venue, arbitration and class-action terms, to confirm which Nepali Acts apply (for example on privacy and electronic transactions), and to address mandatory consumer rights of users outside Nepal, since the Platform is sold worldwide.]

12. Contact

Questions about these Terms can be sent to satendrapatel2468@gmail.com.

Flags for legal review:

  • No-refund policy (section 3) should be checked against consumer protection law in every jurisdiction you plan to sell into. The Platform is sold worldwide, and some regions (e.g. EU, UK) have mandatory cooling-off/refund rights that may override a blanket "no refunds" clause. This is the highest-risk item in this draft.
  • The upgrade-only rule and the "no feature access after expiry" rule (section 3) should be reviewed for consumer-law fairness, especially the 90-day data deletion.
  • The minimum age of 18 (section 2) removes parental-consent requirements, but counsel should confirm the age-confirmation mechanism.
  • Auto-charging a card at trial end without an additional confirmation step may have specific disclosure requirements in some jurisdictions (e.g. clear "your card will be charged $X on [date]" language, sometimes a reminder email before the charge).
  • Liability limitations and governing law (sections 9, 11) are placeholders and need Nepal-specific drafting by a Nepali lawyer, plus a check of how a Nepali choice of law and courts will be treated for customers in the EU, UK and US.
  • Purchases happen on the website only (the mobile app links out). Counsel should check that the checkout wording matches the Terms.
